6. Quotes and Proposals

All quotations, proposals, estimates, and pricing shared by Techlumas Solutions Private Limited are valid only for the period stated in the respective proposal or quotation.

Pricing may change due to:

• Scope modifications
• Additional feature requests
• Third-party licensing or subscription costs
• Delays caused by the client
• Regulatory or compliance-related changes
• Currency fluctuations for international projects

7. Change Requests

Any work outside the originally agreed scope shall be treated as a Change Request.

Techlumas Solutions Private Limited reserves the right to:

• Review and evaluate the requested changes.
• Estimate additional effort and cost.
• Revise delivery timelines.
• Issue updated pricing before implementation.

No additional work shall begin until the Change Request is approved by the client.

8. Payments

Unless otherwise agreed in writing:

• Payments shall be made according to the agreed milestones or invoice terms.
• Invoices must be paid within the period stated on the invoice.
• Late payments may attract applicable interest or penalties where permitted by law.
• Work may be paused or suspended for overdue invoices.
• Ownership or rights to deliverables may remain with Techlumas Solutions Private Limited until full payment is received.
• Taxes, duties, banking charges, currency conversion charges, and government levies shall be the responsibility of the client unless explicitly stated otherwise.

9. Refund Policy

Due to the customized nature of software development, consulting, design, marketing, and technology services:

• Advance payments are generally non-refundable.
• Payments for completed milestones are non-refundable.
• Refund requests will be considered only where legally required or specifically agreed in writing.
• Third-party expenses, licenses, subscriptions, tools, hosting, or paid resources are non-refundable.

10. Intellectual Property

Unless otherwise agreed in writing:

• Techlumas Solutions Private Limited retains ownership of its proprietary methodologies, frameworks, libraries, reusable code, templates, internal tools, automation systems, processes, and know-how.
• Upon full payment, the client receives ownership or a license to the custom deliverables as specified in the applicable project agreement.
• Open-source software shall remain governed by its respective licenses.
• Third-party software, plugins, APIs, tools, and platforms shall remain subject to their own licensing terms.

11. Client Content

The client retains ownership of all materials provided to Techlumas Solutions Private Limited, including but not limited to:

• Logos
• Trademarks
• Images
• Videos
• Documents
• Databases
• Brand assets
• Website content
• Product information
• Business information

The client grants Techlumas Solutions Private Limited a limited license to use such materials solely for performing the agreed services.

The client warrants that all supplied materials are lawful and do not infringe the intellectual property, privacy, or other rights of any third party.

12. Artificial Intelligence Services

Where AI technologies are included in our services:

• AI-generated outputs may require human review.
• AI results are probabilistic and may not always be accurate, complete, or suitable for every use case.
• Clients are responsible for reviewing and verifying AI outputs before using them for business, legal, financial, medical, or compliance-related decisions.
• Techlumas Solutions Private Limited does not guarantee regulatory compliance of AI-generated content unless expressly agreed in writing.
• Clients remain responsible for decisions made using AI-generated recommendations or outputs.

13. Digital Marketing Disclaimer

For SEO, advertising, branding, social media management, content marketing, or digital marketing services:

• Search engine rankings cannot be guaranteed.
• Traffic growth cannot be guaranteed.
• Lead generation, conversions, or revenue increases cannot be guaranteed.

Techlumas Solutions Private Limited uses commercially reasonable efforts but does not guarantee specific marketing outcomes.

18. Warranties

• Intellectual property infringement caused by client-supplied materials.
• Violation of applicable laws by the client.

• Breach of these Terms or any applicable agreement.

21. Suspension and Termination

Techlumas Solutions Private Limited may suspend or terminate services if:

• Payments remain overdue.
• The client materially breaches these Terms or any applicable agreement.
• The client engages in unlawful, abusive, fraudulent, or unethical activities.
• The continuation of services becomes commercially impractical, unsafe, or unlawful.

Termination shall not affect accrued payment obligations or any rights and obligations that are intended to survive termination.

22. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including but not limited to:

• Natural disasters
• War
• Terrorism
• Pandemics
• Labor disputes
• Government actions
• Internet failures
• Cyberattacks
• Utility interruptions
• Failures of third-party service providers

23. Governing Law and Jurisdiction

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations.
